Welcome to Webverse Studio. These Terms of Service ("Terms") govern your use of our website and the services we provide. By accessing our website, requesting a quotation, or purchasing any service from Webverse Studio ("we," "our," or "us"), you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you should not use our website or engage our services.

Our Services

Webverse Studio provides professional digital services including website design, ecommerce development, booking website setup, branding, website maintenance, search engine optimization (SEO), website redesigns, and other digital solutions. The scope of each project will be outlined in the approved proposal, quotation, or service agreement.

Client Responsibilities

Clients agree to provide all necessary content, branding assets, images, login credentials, approvals, and feedback required to complete the project. Delays in providing required information may result in adjustments to the project timeline. Clients are responsible for ensuring they have the legal right to use any content, images, logos, trademarks, or other materials supplied to Webverse Studio.

Payments

Webverse Studio offers the following payment options for eligible projects:

Full Payment: Clients may choose to pay the total project cost upfront before work begins.

50% Deposit: A non-refundable deposit of 50% of the total project cost is required before work commences. The remaining balance must be paid in full before the website is launched, transferred, or any final files are delivered.

Payment Plans: Payment plans may be available for select projects; however, they are offered solely at the discretion of Webverse Studio and are not guaranteed. Approval must be granted before a payment plan is established. Payment plan terms, installment amounts, due dates, and project milestones will vary based on the scope and value of the project and will be confirmed in writing prior to the commencement of work.

Failure to make payments by the agreed due dates may result in the suspension of work until the outstanding balance has been received. If payment remains overdue, Webverse Studio reserves the right to delay project delivery, withhold final files, postpone website launch, suspend ongoing services, or terminate the project in accordance with these Terms.

All prices are quoted in United States Dollars (USD) unless otherwise stated. Unless explicitly included in your proposal or invoice, third-party costs—including domain registration, web hosting, Shopify subscription fees, Wix Premium plans, premium themes, plugins, applications, booking software subscriptions, and other external services—are the responsibility of the client.

As outlined in our Return & Refund Policy, all payments made to Webverse Studio are final and non-refundable. Due to the custom nature of our digital services, no refunds will be issued once payment has been received.

Refunds

Revisions and Scope Changes

Each project includes the number of revisions specified in the selected package or proposal. Revision requests must remain within the original project scope. Requests for additional features, new pages, significant design changes, or other work outside the agreed scope may require a revised quotation and additional fees.

Project Timelines

Estimated delivery dates are based on clients providing all requested information, approvals, and feedback in a timely manner. Webverse Studio is not responsible for delays caused by late content submission, delayed approvals, third-party providers, technical issues outside our control, or force majeure events.

Intellectual Property

Upon receipt of full payment, ownership of the completed custom website design and approved deliverables created specifically for the client will transfer to the client, unless otherwise agreed in writing. Webverse Studio retains ownership of any pre-existing materials, templates, proprietary processes, design systems, tools, code libraries, and other intellectual property used during development.

Clients retain ownership of all content, trademarks, logos, and materials they provide.

Portfolio Rights

Unless otherwise agreed in writing, Webverse Studio reserves the right to display completed projects, screenshots, logos, and publicly available website content in our portfolio, social media, marketing materials, and promotional content for the purpose of showcasing our work.

Third-Party Services

Many websites rely on third-party platforms and services, including Shopify, Wix, Acuity Scheduling, Setmore, payment processors, hosting providers, domain registrars, and marketing tools. Webverse Studio is not responsible for service interruptions, pricing changes, security incidents, outages, or policy changes made by these third-party providers.

Website Maintenance

Unless a maintenance plan has been purchased, ongoing updates, content edits, technical support, security monitoring, backups, and software updates are not included after project completion. Clients are responsible for maintaining their website or purchasing an ongoing maintenance plan.

Limitation of Liability

To the fullest extent permitted by law, Webverse Studio shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our website or services, including but not limited to loss of profits, business interruption, loss of data, loss of revenue, or loss of business opportunities.

Our total liability relating to any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

Termination

Either party may terminate a project in writing. If a project is terminated, all payments made remain non-refundable, and any outstanding invoices for work completed up to the date of termination become immediately payable. Webverse Studio reserves the right to suspend or terminate services if a client breaches these Terms, fails to make payments, engages in abusive or unlawful conduct, or otherwise prevents the successful completion of the project.

Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction in which Webverse Studio operates, without regard to conflict of law principles. Any disputes arising from these Terms shall first be addressed through good-faith discussions between both parties before either party pursues formal legal remedies.

Changes to These Terms

Webverse Studio reserves the right to update or modify these Terms of Service at any time. Updated versions will be posted on our website with a revised effective date. Continued use of our website or services after changes have been published constitutes acceptance of the revised Terms.
